* 1) Main Business Structures in Ontario & Canada
1. Sole Proprietorship
The simplest and most affordable structure.
Key Features:
• Owned by one individual
• Fast and inexpensive to register
• Unlimited personal liability
• Business Name Registration (Master Business Licence) must be renewed every 5 years
• No NUANS report required
Best For:
Freelancers, small services, home businesses, independent contractors, Uber drivers, marriage officiants.
2. Partnership
A) General Partnership (GP)
• Two or more people share the business
• All partners have unlimited liability
• Easy and low-cost registration
Best For:
Family businesses, restaurants, small retail, joint ventures.
B) Limited Partnership (LP)
• One general partner (full liability) + limited partners (liability limited to their investment)
Best For:
Real estate projects, investment groups, construction partnerships.
C) Limited Liability Partnership (LLP)
• Only permitted for regulated professions (lawyers, CPAs, engineers)
• Partners are liable only for their own professional errors
Note: Paralegals in Ontario cannot form an LLP.
3. Corporation (Incorporated Company)
Registered under either the Ontario Business Corporations Act (OBCA) or the Canada Business Corporations Act (CBCA).
Key Features:
• Separate legal entity
• Limited liability for shareholders
• Lower corporate tax rates
• Ability to issue shares, raise capital, and transfer ownership
• Requires Minute Book, bylaws, resolutions, share records, and Annual Return reporting
Types:
• Ontario Corporation (OBCA)
• Federal Corporation (CBCA)
4. Cooperative
A democratic member-owned enterprise.
Key Features:
• “One member = one vote”
• Profits distributed to members
• Suitable for community-based ventures
Best For:
Housing co-ops, agricultural groups, and multi-member service collectives.
* 2) Ontario Incorporation vs. Federal Incorporation
Federal Incorporation (CBCA)
• Name protection across all of Canada
• Suitable for national or online businesses
• Requires extra-provincial registration to operate in each province
• Lower incorporation fee (approx. $200)
Ontario Incorporation (OBCA)
• Ideal for businesses primarily operating within Ontario
• Fully managed through the Ontario Business Registry (OBR)
• No extra-provincial registration required
• Incorporation fee approx. $300
Note:
Since 2021, over 90 OBR services have been fully available online.

NUANS Report Required For:
• Incorporating an Ontario or Federal corporation with a name (not a numbered company)
• Must be an Ontario-biased NUANS for Ontario incorporations
• Valid for 90 days

• 7-digit permanent number issued by OBR
• Assigned to Ontario corporations
BN — Business Number (CRA)
• 9-digit tax identifier used for:
• GST/HST
• Payroll
• Import/Export (RM)
• Corporate income tax
BIN — Business Identification Number
• Assigned to Sole Proprietorships and Partnerships registering a Business Name (MBL)
Company Key
• A confidential 9-digit code used to manage your business profile in the OBR (directors, address, annual filings)
* 5) Residency Requirement for Directors — Updated 2024–2025
Ontario has removed the requirement that 25% of directors must be Canadian residents.
Federal law has also removed/modified residency requirements.
This change greatly benefits newcomers and international entrepreneurs.
* 6) CRA Tax Accounts & Thresholds
GST/HST Account
• Mandatory when taxable revenues exceed $30,000 in 4 consecutive quarters or a single quarter
• Voluntary registration allowed before reaching the threshold
Payroll Account
Required only if you have employees and are deducting CPP, EI, and income tax.
Import/Export (RM) Account
• Must be activated through the CARM Client Portal after obtaining a BN
• Required for international trade

Immigration Note — Intra-Company Transfer (ICT)
Registering a company does not grant status in Canada.
